1. Acceptance and Scope
These Terms of Service govern access to and use of the ki.finance platform, websites, dashboards, APIs, agent experiences, document-processing workflows, and related services provided by Fourth Dimension Studios Ltd. Liability Co. doing business as ki.finance ("ki.finance," "we," "our," or "us"). By accessing or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the business or organization you represent.
If you are using the Services for a company, you represent that you have authority to bind that company to these Terms. If you do not agree, do not use the Services.
2. What the Services Are
ki.finance provides software tools designed to help businesses manage finance operations, including transaction workflows, bank-feed connectivity, invoice and vendor tracking, reporting, document extraction, AI-assisted analysis, and related collaboration or review features.
The Services may include recommendations, categorizations, forecasts, summaries, document extractions, and draft actions generated or supported by automated systems. Unless we expressly agree otherwise in writing, the Services are software tools for business operations and are not a substitute for your internal controls, accountant, tax advisor, lawyer, fiduciary, or regulated financial institution.
3. Eligibility and Accounts
- You must be legally able to enter into these Terms and use the Services in compliance with applicable law.
- You are responsible for maintaining the confidentiality of account credentials, API keys, worker credentials, and any shared-access permissions you enable.
- You must promptly notify us if you believe your account, workspace, integration, or credentials have been compromised.
- You are responsible for activity that occurs under your account or workspace unless caused by our breach of these Terms or applicable law.
4. Business Data and Permissions
You retain ownership of the business information, financial records, documents, and other content you submit to the Services ("Customer Data"). You grant us the rights reasonably necessary to host, process, transmit, analyze, back up, secure, and display Customer Data for the purpose of providing, maintaining, and improving the Services, subject to our Privacy Policy and any applicable written agreement.
If you invite team members, accountants, contractors, or agents into your workspace, you are responsible for assigning and reviewing their access. You represent that you have the right to share Customer Data with anyone you authorize through the Services.
5. AI Features and Customer Responsibility
- AI outputs may be incomplete, inaccurate, stale, or unsuitable for your specific situation.
- You remain responsible for reviewing important categorizations, reconciliations, filings, accounting entries, approvals, money movement, and business decisions before relying on them.
- You must not rely on the Services as your sole source of accounting, tax, legal, or investment advice.
- You are responsible for the accuracy of source documents, integrations, and instructions you provide.
6. Restricted Activities
- Do not use the Services to violate law, infringe rights, commit fraud, launder funds, or process data you are not authorized to use.
- Do not interfere with service integrity, security controls, rate limits, tenant isolation, or other users’ access.
- Do not reverse engineer, scrape, or replicate the Services except as expressly allowed by law or by a written agreement with us.
- Do not use the Services to train competing models or build a substantially similar competing product using non-public outputs or system behavior obtained through the Services.
7. Third-Party Services
The Services may connect with third-party providers such as Plaid, email providers, cloud hosts, identity providers, messaging services, or accounting and banking integrations. Your use of those third-party services may be subject to separate terms and privacy notices from those providers.
We are not responsible for third-party services, third-party outages, or third-party data practices except to the extent required by law. We may suspend or modify integrations when providers change functionality, access terms, or technical requirements.
8. Fees, Trials, and Suspension
If you purchase a paid subscription or other paid offering, you agree to pay all applicable fees, taxes, and charges described in your order form, checkout flow, or pricing page. Unless otherwise stated, fees are non-refundable except where required by law.
We may suspend or limit access if fees are overdue, if you materially breach these Terms, if your use creates security or legal risk, or if continued service could harm us, other customers, or third parties.
9. Confidentiality and Security
We will use commercially reasonable administrative, technical, and organizational measures designed to protect Customer Data. You agree to use appropriate safeguards on your side as well, including strong authentication, access reviews, secure devices, and appropriate internal controls.
You acknowledge that no system is perfectly secure, but each party will act reasonably to protect confidential information and to investigate suspected unauthorized access.
10. Compliance, Disclaimers, and No Professional Relationship
Unless expressly stated in a signed written agreement, ki.finance is not acting as your CPA, tax preparer, law firm, broker-dealer, investment adviser, bank, money transmitter, payment processor, escrow provider, fiduciary, or insurer.
The Services and all outputs are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Services will be uninterrupted, error-free, or suitable for a regulated filing or financial reporting obligation without review.
11. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility of those damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or related to the Services or these Terms will not exceed the greater of (a) the amounts you paid us for the Services in the 12 months preceding the event giving rise to the claim or (b) US $100.
12. Indemnity
You will defend, indemnify, and hold harmless ki.finance and its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising out of or related to your Customer Data, your misuse of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.
13. Termination
You may stop using the Services at any time. We may terminate or suspend your access as described in these Terms. Upon termination, your rights to use the Services end, but provisions that by nature should survive termination will survive, including provisions on fees owed, confidentiality, disclaimers, limitations of liability, indemnity, and dispute resolution.
14. Governing Law and Updates
These Terms are governed by the laws of the State of Wyoming, excluding its conflict-of-laws rules, unless another law is required to apply. Any dispute venue, arbitration process, or court of competent jurisdiction should be added here after review by counsel to match your preferred approach.
We may update these Terms from time to time. If we make a material change, we will post the updated version and update the effective date. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms.
